Corporate Governance is an important part of a healthy capital market. In this course, the frame and the basic theories of corporate governance will be introduced, and the practical applications of corporate governance in Taiwan and globe will be discussed. We will also analyze the international corporate governance system and related cases in this course. The structure and mechanisms of corporate governance will be introduced at first. In the second and third parts, we will explore the internal governance mechanisms, including ownership structure, the functions of board and committees, M&A decision and the family business characteristics. The external corporate governance mechanisms will be discussed in the third part, including investors’ protection and shareholder activism. Based on the second part, we will discuss the corporate finance and rating system as the forth part. In the last part, the difference between the corporate governance of bank and general industries will be discusses. At the end, we will explore the trend of future corporate governance and the corporate social responsibilities as the conclusion.
