美國公司法為所有商法或財經法學習的骨幹，基本上，是所有商法學習的第一課，也是最後一課，同時為所有商業活動或商業法律的基石。 本課程以美國法學院公司法課程為標準，進行美國大量公司法案例介紹與研討。希望藉由個案仔細的研讀，提供修課同學對美國公司法更多的基礎掌握及理解。 本學期課程屬全新案例規劃，將聚焦在近二十年的最新案例。相關案例相對複雜困難，希望藉由這樣的挑戰，提昇國內此一領域學習的複雜度與完整度。 （案例會於課程前一週公布提供。）
1.台灣公司法、或以公司法為主軸的商事法 2.英文中等以上讀寫能力（本課程將配合同學能力部分以英文授課） [本課使用教材為全英文。同學課堂討論可自由選擇英文或中文。]
