企業創造價值必須以智慧財產權為基礎，以授權契約為中心的智財相關契約為其企業整體戰略的重要核心之一。此外，目前產業的現狀為產品的研發、生產、行銷，無一環節可以完全無涉及他企業之智慧財產權。因此，如何以英文協商有利之授權契約，即為產業經營的重要工作。於授權契約涉訟時，了解訴訟程序以發展有利的訴訟策略，亦為企業重要的知能。 一. 主要課程內容: 本課程進行方式以講授專利授權相關契約法律重要議題、重要案件解析、重要契約條款與相關文字為主。內容涵蓋授權基礎法律概念、專利授權以及其在美國專利訴訟上的相關實務，重要條款的內涵、作用與爭議。同時，有鑑於Agentic AI在授權實務上的重要性，本課程亦會兼論如何使用Claude Cowork工具以進行授權契約審閱的基本操作（包括如何設定相關plugin、使用skill以及建構企業playbook）以及應注意事項。 二. 學習目標： 1. 掌握授權與智慧財產權授權基本概念。 2. 了解重要智慧財產權授權重要結構與條款。 3. 熟悉授權契約相關爭訟。 4. 瞭解Claude Cowork在契約審閱上的功能操作與應注意事項。 三. 預期成果： 1. 了解智權契約之體系規範與重要契約條款。 2. 熟悉重要智財授權契約談判策略。 3. 認識授權契約相關爭訟重要案例與議題。 4. 能運用Claude Cowork等Agentic AI工具進行授權契約審閱基本工作並避免相關法律風險。 上課方式： 實體教室、網路同步、網路非同步
本課程適合熟悉以英文專利授權契約為主之智慧財產權相關契約審閱重點與重要條款撰擬為目標之同學選讀。修課同學宜先對專利法及契約法有基本之暸解 。本課程同學需研讀美國專利案件與契約文件，因此應具備英文讀寫能力。

1. 期末作業: 本課程評分最主要依據為期末作業之表現（90%）。期末作業係建構Agentic AI審約工具，惟同學亦可選擇以期末考方式取代。 作業建構需要Claude付費方案，無帳號者得以期末考方式取代。 2. 上課參與(實體)：上課參與（10%）。上課參與程度、出席情形為主要評分依據。 上課參與(網路同步)：上課參與加減分標準與出缺席規定，同實體上課學生。 學分班同學可以選擇：上課參與(網路非同步)：加減分標準與出缺席規定，同實體上課學生。 3. 生成式AI使用規範：課程作業使用生成式AI工具，應揭露所使用之工具及用途；所有引註、條文與數據均須經人工查核。不得將含有營業秘密或未公開技術內容之真實契約上傳至雲端AI服務。
